-
Responsibilities of the Parties
-
Subject to paragraph O of this Section, the Contractor is responsible for interruptions in the provision of its services only to the extent attributable to its breach of this Contract. Interruptions caused by the Customer, third-party conduct outside the Contractor's reasonable control and contractual responsibility, or events qualifying under Section 8 do not create liability. Any liability and SLA compensation are subject to the aggregate limit in paragraph D of this Section; the remedies expressly stated in Appendix No. 3 remain available on its terms.
-
Subject to paragraph O of this Section, the Contractor is not responsible for damage resulting from the Customer's loss, disclosure or misuse of its Login, Password or other access credentials, including access by persons whom the Customer authorizes or fails to remove, except to the extent caused by the Contractor's breach of an express contractual duty or a duty imposed by applicable law. Force majeure is governed exclusively by Section 8; an unexplained or random event alone does not establish an exemption.
-
Except to the extent that a specific backup, data-retention or restoration service has been expressly included in a paid Order, the Contractor does not act as the Customer's data custodian or guarantee recovery of data lost through hardware failure, accidental deletion, administration errors, credential compromise or external interference. The Customer must maintain recoverable copies independently of the affected infrastructure. Any liability of the Contractor for data loss is subject to paragraphs D, F and O of this Section; this paragraph does not cancel any expressly agreed backup or security obligation.
-
Subject to paragraph O of this Section, the total aggregate liability of the Contractor, its affiliates and their respective personnel and suppliers arising out of or relating to this Contract or the services shall not exceed the fees actually paid by the Customer for the affected service or services attributable to the one calendar month in which the earliest event giving rise to any such claim occurred. Prepayments covering a longer period shall be allocated pro rata to that month. This is a combined limit for all claims and claimants, not a separate limit per claim, incident or legal theory, and applies to Contract, tort (including ordinary negligence), strict liability and other civil claims. SLA credits or compensation for the same loss count toward this limit. Return of unused prepayments required under Section 8 or Section 11 is not damages and is not reduced by this limit.
-
The parties are responsible for their obligations in accordance with the current legislation of the United States of America. The applicable law is determined under Section 7.
-
Subject to paragraph O of this Section, the Contractor shall not be liable for lost profits, revenue, business, goodwill, anticipated savings or business opportunities; loss of use, loss or corruption of data or the cost of reconstructing data; or any indirect, consequential, incidental, special, exemplary or punitive damages. These exclusions apply regardless of the legal theory, whether the loss was foreseeable, whether the Contractor was advised of its possibility, and whether a limited remedy fails of its essential purpose, to the maximum extent permitted by applicable law.
-
The customer is solely responsible for the safety of his data, for the creation of backups, their storage and management. Backups must be kept outside the service being backed up, tested for restoration and protected against unauthorized access. An express paid backup or administration commitment remains binding on the Contractor; the Customer's duties do not enlarge that commitment or create an unlimited recovery guarantee.
-
The Customer is informed that the server software may include, but is not limited to software products provided without any warranties. Except for express commitments in this Contract, the applicable Order and the SLA, the services and third-party software are provided 'as is' and 'as available'. To the maximum extent permitted by law, the Contractor disclaims implied warranties of merchantability, fitness for a particular purpose and non-infringement, and does not warrant error-free, malware-free or uninterrupted operation of third-party software. Diagnostic and restoration work outside the expressly purchased service scope is chargeable at a price disclosed and accepted before that work begins. This paragraph does not disclaim an express service commitment or any warranty that applicable law does not permit to be disclaimed.
-
The Customer takes full responsibility and all risks associated with the use of the Internet through the resources and / or services of the Contractor. Subject to paragraph O of this Section, the Customer is responsible for the suitability, legality and configuration of its workloads, software, content and use of the services. The services are not warranted for life-support, safety-critical or other uses in which failure could reasonably cause death or serious physical injury, unless separately agreed in writing.
-
If there are judicial or other acts from the state authorities regarding the services of the Customer concerning non-compliance with legislation, the Contractor has the right to block the services of the Customer without the right to refund.
-
In the event of Complaints (Abuses) about the Customer's services from specialized organizations, representatives for copyright and other related rights, complaints from organizations for the protection of trademarks (brands), complaints about the organization of spam mailings, illegal software placement (without the permission of the copyright holder), placement malware, posting informational articles about hacking, posting hacking software, posting pornographic materials, as well as any other actions of the Customer that may qualify as illegal or inflicting, or that may cause damage to the Contractor, the Contractor has the right to block the Customer's services without the right to refund.
-
The Contractor is not liable to the Customer for communication interruptions caused by the event of revocation of IPv4 networks by regulatory organizations. In the event of an IPv4 network revocation, services will be available over IPv6.
-
Subject to paragraph O of this Section, the Contractor does not assume liability for the Customer's unlawful acts, the legality or ownership of Customer content, third-party software defects, malicious third-party conduct, or the delay, loss, corruption or non-delivery of Internet transmissions caused by systems or communication links outside the Contractor's reasonable control and contractual service scope. The mere involvement of a third party does not excuse the Contractor from an express duty it has assumed; an infrastructure supplier's failure qualifies under Section 8 only if it results from a qualifying Force Majeure Event.
-
If the Customer acquires the services for business or professional purposes, the Customer shall defend, indemnify and hold harmless the Contractor, its affiliates and their personnel against third-party claims, resulting damages, reasonable legal fees and court costs to the extent arising from the Customer's unlawful use of the services, infringement by Customer content, or material breach of this Contract. This obligation does not cover loss attributable to the Contractor's own negligence, fraud, willful misconduct or breach of this Contract. The Contractor must promptly notify the Customer of the claim, provide reasonable cooperation at the Customer's expense, and allow the Customer to control the defense with competent counsel; delayed notice relieves the Customer only to the extent materially prejudiced. No settlement may impose liability, an admission or a non-monetary obligation on the Contractor without its prior written consent, which shall not be unreasonably withheld. The Contractor may participate through its own counsel at its own expense. The cap in paragraph D does not limit the Customer's payment or indemnity obligations under this paragraph; indemnity is limited to third-party claims and is not an automatic penalty or a right to retain unrelated prepaid funds.
-
Nothing in this Contract or its Appendixes excludes or limits liability for the Contractor's fraud, gross negligence or willful misconduct, or death or personal injury caused by the Contractor's negligence, or any liability, statutory remedy, refund or consumer right that cannot lawfully be excluded, waived or limited. Mandatory privacy, data-security, breach-notification and other statutory duties remain applicable. Where applicable law does not permit a particular disclaimer, exclusion, cap, indemnity or forum restriction, that restriction applies only to the maximum lawful extent. This paragraph prevails over any conflicting term elsewhere in the Contract or its Appendixes.
-
Subject always to paragraph O, paragraphs D and F govern the allocation of damages throughout this Contract and its Appendixes unless a separately signed agreement expressly identifies and overrides them. An SLA credit and damages for the same loss shall not be recovered twice. The Parties acknowledge that the fees reflect the limited service scope and allocation of risk stated here, and that the Contractor does not undertake to insure the Customer's business or data. The Contractor's express performance obligations and the Customer's express SLA remedies remain in effect.
-
Conditions and procedure for termination of the Contract
-
This Contract may be terminated at the initiative of the Customer, in the absence of direct fault of the Contractor, after the expiration of the paid period by refusing to pay for the services for the next period or on the basis of a notice set forth in written form.
-
This Contract may be terminated at the initiative of the Contractor on the basis of Customer’s improper following the terms and conditions of this Contract and / or its Appendixes. The Contractor is obligated to send the Customer a written notice of termination of the Contract at least 5 (five) days before the termination.
-
If the Contract is terminated for reasons other than those listed above, the issues of payments shall be settled by the agreement of the Parties or in accordance with the established procedure through the judicial bodies of the United States of America in accordance with the current legislation of the United States of America.
-
Procedure for settlement the disputes
-
Disputes and / or disagreements shall be resolved by the Parties through negotiations. This Contract and claims arising out of or relating to it are governed by the laws of the State of Delaware and applicable federal laws of the United States of America, without applying conflict-of-laws rules that would select another jurisdiction's law. Subject to any non-waivable right to bring a claim elsewhere, the Parties consent to exclusive jurisdiction and venue in the state courts located in New Castle County, Delaware, or, where federal subject-matter jurisdiction exists, the United States District Court for the District of Delaware. This choice does not deprive a consumer of mandatory protections or a mandatory forum available under otherwise applicable law.
-
All claims of the Parties must be executed in written form and signed by authorized individuals.
-
The Party that received the claim must provide the other party with a reasoned response within 10 working days from the date of receipt of the claim.
-
Force Majeure
-
Neither Party is liable for a delay or failure to perform an obligation to the extent that performance is prevented, made unlawful or materially delayed by a Force Majeure Event beyond that Party's reasonable control. A Force Majeure Event is an event described in paragraph D of this Section, or another event of comparable nature and severity, whose relevant effects could not reasonably have been avoided or overcome through commercially reasonable precautions and mitigation. The Party relying on this Section must establish the event and its causal effect on the affected obligation. Relief does not cover an independent breach, a failure to take agreed precautions, or an event caused by that Party's own breach.
-
The affected Party shall notify the other Party in writing, through the Customer account or an agreed e-mail address, as soon as reasonably practicable and no later than 10 calendar days after becoming aware of the Force Majeure Event. The notice must identify the affected services or obligations, the event, its reasonably expected duration if known, and the mitigation or restoration measures being taken. The affected Party shall provide material updates and notice when the impediment ends. Where timely communication is itself objectively impossible or legally prohibited, notice shall be given as soon as that impediment ceases. A delay in notice reduces relief only to the extent the other Party is materially prejudiced by that delay.
-
If a Force Majeure Event prevents or materially disrupts an affected service for more than 30 consecutive calendar days, either Party may terminate the affected Order by written notice without an early-termination penalty. The entire Contract may be terminated on this basis only if substantially all services under it are affected. The Parties shall settle amounts for services already supplied and any separately disclosed, authorized and non-cancellable third-party commitments actually incurred for the affected Order, without double recovery. Notwithstanding the 15-day request period and other contractual refund exclusions in Section 11, the unused prepaid balance for services that will not be supplied following such termination shall be returned after those lawful deductions. Refunds remain subject to applicable legal restrictions under paragraph G of this Section.
-
Force Majeure Events may include armed hostilities, invasion, civil war or civil disorder; weapons impacts, including missiles, drones and defensive interception; terrorism, sabotage or deliberate destruction of infrastructure; strikes or widespread labor disruption beyond the affected Party's reasonable control; fire, explosion, flood, earthquake, severe natural disaster, epidemic or pandemic; and binding governmental orders, emergency restrictions, embargoes, export controls or sanctions that prohibit or materially prevent the relevant performance. They may also include resulting failures of data centers, electricity supplies, telecommunications, transit links or other essential infrastructure, including infrastructure operated by the Contractor's suppliers, where the underlying event meets paragraph A. A cyberattack, DDoS attack or unauthorized intrusion qualifies only to the extent its effects could not reasonably have been prevented or overcome through the security measures required by law and the Contract. A third party's ordinary breach, lack of funds, reduced profitability or an increase in operating costs alone is not a Force Majeure Event.
-
Only the obligations actually affected are suspended or extended, for the duration of the impediment and a commercially reasonable period needed to restore performance. The affected Party shall use commercially reasonable efforts to mitigate the effects, resume performance and continue unaffected obligations. It need not incur disproportionate expense or act unlawfully. An extension does not remove the termination right in paragraph C or excuse a payment already due for services properly supplied.
-
Subject to Section 5, paragraph O, neither Party shall owe damages to the other for a delay or failure excused under this Section, including business interruption losses and expenses arising from third-party demands attributable to that excused failure. This relief does not create an indemnity against third-party rights, excuse a separate breach of the notice or mitigation duties, or require payment for a service period during which the contracted resources were neither made available nor reserved for the Customer as agreed. Settlement on termination is governed by paragraph C.
-
The Contractor may suspend or refuse the affected performance immediately to the extent necessary to comply with binding U.S. sanctions, export-control laws or a lawful order, and shall give notice where legally permitted. No provision requires an unlawful service, transfer, refund or other transaction. Funds required by law to be blocked shall be handled as blocked property, reported as required and released only when legally authorized; blocking does not transfer ownership of those funds to the Contractor. A compliance measure extending beyond what the law requires is not automatically excused under this Section.
-
Confidential and Personal Information
-
By signing this Contract (by accepting the offer), the Customer confirms its consent to be processed by Baxet Group Inc., his personal data, namely: last name, first name, middle name, address (including postal), telephone / fax number, e-mail address, bank account details, TIN, BIND, passport information, as well as other personal data provided for the following purposes, including: collection, recording, systematization, accumulation, storing, updating (changing), extracting, using, transferring (distributing, providing, accessing), depersonalizing, blocking, deleting, destroying personal data, for the purposes of concluding and executing the Contract, and for enforcing laws and other regulatory acts. Personal data processing is carried out with or without the use of automation tools. The agreement for the processing of personal data is valid for an indefinite period of time and can be withdrawn by sending a corresponding written application to Baxet Group Inc.
-
By signing this Contract, the Customer confirms its consent to receive from the Contractor promotional materials on the services and promotions of the Contractor and its partners.
-
The Parties are obligated not to transfer to third parties or use, in any other way not provided for by the terms of the Contract, organizational, technological, commercial, financial and other information that is confidential to the Parties (hereinafter - "confidential information"), provided that:
- such information has real or potential commercial value due to its unknown to third parties;
- there is no free access to such information on a lawful basis;
- the holder of such information shall take appropriate measures to ensure its confidentiality.
-
The term of protection of confidential information is limited by the Parties for a period of at least 5 (five) years from the date of the termination of the Contract.
-
The Contractor has the right to request any additional identification data of the Customer. In case of ignoring the request or refusing to provide data within 3 days after sending this request, the Contractor can block the services and account of the Customer until the requested data is provided.
-
Procedure for Amending the Contract
-
The Contractor has the right to propose amendments to the Contract and its Appendixes by publishing the revised version on the Contractor's web server (https://just.hosting). For a material change to liability, dispute resolution, pricing or other Customer rights or obligations, the Contractor shall also send notice to the Customer's registered e-mail address and make the revised version available for review and retention. The notice must identify the material changes and their proposed effective date.
-
The Customer is obligated to regularly monitor any changes related to the stated in the Contract provision of access rights to the web-based system and registration of domains on the Contractor's web server. The Customer is obligated to read and accept the information on changes in the Appendixes to this Contract, as well as other technological and organizational changes published on the web server and sent by the Contractor via e-mail. This duty to monitor information is not, by itself, consent to a material amendment; paragraph D of this Section governs acceptance.
-
Amendments may take effect no earlier than 10 (ten) calendar days after both publication and the required notice, and only after any acceptance required by paragraph D of this Section. A longer notice period or a different procedure required by mandatory law shall prevail.
-
Material amendments apply prospectively to new Orders or renewals accepted after notice, or to an existing Order only after the Customer separately and expressly accepts the revised terms. Acceptance must be recorded through an affirmative action, such as confirming a clearly described acceptance control or placing an Order that conspicuously identifies the revised terms before confirmation. Mere publication, silence or the continued use of an already paid service is not sufficient acceptance of a material amendment. No amendment shall retroactively reduce accrued claims, existing refund entitlements or the terms of an already paid period without the Customer's separate express agreement and any further basis required by applicable law. If the Customer does not accept revised terms, the existing accepted terms continue for the current paid period, and either Party may elect not to renew, subject to applicable law.
-
In all other cases not specified in this Contract the Parties shall be governed by the law determined under Section 7. The limitations, exclusions and indemnity obligations in Section 5, and the dispute-resolution provisions in Section 7, survive termination to the extent relevant to events occurring during the Contract. An unenforceable provision shall be severed or limited only to the extent permitted by applicable law, leaving the remaining provisions effective where they can operate independently.

Възстановявания
-
